Terms and Conditions

These Terms and Conditions ("Terms") govern your engagement of consulting services from CC+Synergy Pte Ltd ("we," "us," "our," or "Cc+Synergy"). By requesting, agreeing to, or accepting our services, you agree to be bound by these Terms. If you do not agree, do not engage our services. Your engagement is also governed by our Privacy Policy, which is incorporated by reference.
1. Services and Scope
We offer consulting services in storytelling, site analysis, building and wellness, product design, and bespoke design work ("Services").
The scope of each engagement shall be defined in a separate written proposal, statement of work (SOW), or email confirmation from us. Only the scope explicitly described in that proposal or SOW is included. Any work outside that scope requires a separate written agreement and additional fees.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you are engaging us on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms.
3. Engagement and Commencement
An engagement begins only upon our written acceptance of your request. Acceptance may be communicated via email or proposal signature. No work will commence until payment terms and scope have been confirmed in writing.
4. Fees and Payment
Fees are as quoted in your approved proposal or SOW. Unless otherwise agreed:
Payment schedule: Fees are due per the payment schedule in your SOW (e.g., 50% upfront, 50% on delivery, or milestone-based).
Late payment: Invoices are due within 14 days of issue. Late payments may incur interest at 1.5% per month or the maximum legal rate, whichever is lower.
Currency: Fees are quoted in SGD unless otherwise stated. If payment is made in another currency, you are responsible for any conversion fees.
Refunds: Refunds are available only if services have not yet commenced. Once work has begun, fees are non-refundable unless services are not delivered as agreed. For in-progress engagements, cancellation results in forfeiture of work completed to date.
Expenses: Reasonable out-of-pocket expenses (travel, software licenses, third-party resources) are billed separately and require your written approval before incurring.
5. Intellectual Property Rights
You own the final deliverables we create specifically for your engagement (e.g., designs, plans, reports, strategies). We retain ownership of all preliminary sketches, notes, methodologies, and tools used in the process unless otherwise agreed in writing.
You may not reproduce, distribute, modify, or exploit our methodologies, frameworks, templates, processes, or any intellectual property belonging to Cc+Synergy without our express written permission.
If our deliverables incorporate third-party materials (stock images, fonts, licensed software), you are responsible for understanding the licensing terms. We will disclose any third-party components; you agree to comply with their license terms.
Unless confidentiality applies, we reserve the right to reference your project as a case study or portfolio example. You may request anonymity in writing.
6. Confidentiality
Any information you share with us marked as confidential, or reasonably understood to be confidential (e.g., business plans, pricing, personal data), will be treated as confidential and not disclosed to third parties without your consent.
7. Our Responsibilities and Limitations
We will provide Services with professional care and attention consistent with industry standards. We do not guarantee specific business results or market success from your use of our deliverables. Our advice is based on information available at time of engagement; we are not responsible for changes in market conditions after delivery.
You are solely responsible for: providing accurate information necessary for us to perform Services, reviewing and approving deliverables in a timely manner, implementing our recommendations, obtaining necessary consents and approvals, and compliance with all applicable laws.
8. Revisions and Change Requests
The number of revision rounds is specified in your SOW. Typical engagements include up to two revision rounds. Requests beyond the scope or exceeding included revision rounds will be quoted separately. We will not proceed without your written approval and agreement to additional fees.
9. Limitation of Liability
To the maximum extent permitted by law, Cc+Synergy shall not be liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, loss of data, or business interruption) arising from your use of our Services.
Our total liability to you shall not exceed the fees you paid for the Services in question. Nothing in these Terms limits our liability for fraud, gross negligence, or willful misconduct.
10. Termination
You may terminate an engagement at any time with written notice. Upon termination, fees for work completed to date are non-refundable. We may terminate with 7 days' notice if payment is overdue, you request unlawful work, or you misrepresent your authority.
11. Dispute Resolution
Any dispute shall first be addressed through good-faith negotiation. If unresolved within 30 days, either party may pursue further remedies. These Terms are governed by the laws of Singapore. For Australian clients, you retain rights under Australian consumer law that cannot be excluded.

13. Separate Platform Disclaimer
CC+Synergy Pte Ltd operates two separate platforms: ccsynergyweb.com (consulting and design services) and SynergyWeb™ (synergyweb.app, a marketplace platform). These are distinct products with separate terms, policies, and operations. ccsynergyweb.com is not responsible for issues, disputes, or policies related to SynergyWeb™. Users cannot hold the consulting services or ccsynergyweb.com accountable for app issues, outages, or payment disputes on synergyweb.app. For app-related matters, refer to SynergyWeb's App Terms of Use.
